Welcome to Splendor Media Limited. These Terms of Service ("Terms") govern your use of our website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By using our website at www.splendormedia.org or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

2. Services Provided

Splendor Media Limited provides the following services:

• Graphic Design (logos, brochures, business cards, social media posters, etc.)
• Web Design and Development
• Branding and Corporate Identity
• Printing Services (t-shirts, flyers, brochures, vinyl, PVC, backlit, frontlit)
• Custom Signage Design and Fabrication
• Digital Content Management
• General Supply Services

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information necessary for project completion
• Ensure you have the legal right to use any materials, content, or intellectual property provided to us
• Respond to communications and requests for feedback in a reasonable timeframe
• Make payments according to agreed terms and schedules
• Review and approve designs, proofs, and deliverables before final production

4. Project Process and Revisions

Our standard project process includes initial consultation, concept development, client review, and final delivery. Each project agreement will specify the number of revision rounds included. Additional revisions beyond the agreed scope may incur extra charges.

Client approval of designs and proofs is final. We are not responsible for errors that were approved by the client during the review process.

5. Payment Terms

Payment terms will be specified in each project agreement or quotation. Generally:

• A deposit may be required before work commences
• Final payment is due upon project completion or before delivery
• Late payments may incur additional fees and may result in suspension of services
• All prices are in Zambian Kwacha (ZMW) unless otherwise specified
• Payment can be made to our bank account: ABSA Bank Zambia PLC, Account No: 017-1224934

6. Intellectual Property Rights

Client Materials

You retain ownership of any content, materials, or intellectual property you provide to us. By providing such materials, you grant us a license to use them solely for the purpose of completing your project.

Our Work Product

Upon full payment, you will receive ownership rights to the final deliverables as specified in the project agreement. However, we retain the right to:

• Display completed work in our portfolio and marketing materials
• Use project details as case studies (with your permission)
• Retain copies of work for our records

Third-Party Resources

Some projects may incorporate third-party resources (stock photos, fonts, templates) that require separate licensing. You are responsible for obtaining appropriate licenses for commercial use unless otherwise agreed.

7. Confidentiality

We respect the confidentiality of your business information and project details. We will not disclose confidential information to third parties without your consent, except as required by law or to fulfill our service obligations (e.g., working with printing partners).

8. Project Timelines and Delays

We strive to meet all agreed deadlines. However, timelines are estimates and may be affected by factors including client feedback delays, scope changes, or unforeseen circumstances. We are not liable for delays caused by circumstances beyond our reasonable control.

9. Cancellation and Refunds

Project cancellations must be submitted in writing. Cancellation policies include:

• Deposits are non-refundable once work has commenced
• You will be charged for work completed up to the cancellation date
• For printing orders, cancellations may not be possible once production has begun
• Refunds, if applicable, will be processed within 14 business days

10. Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill and care. However:

• We do not guarantee specific business results from our services
• We are not responsible for technical issues beyond our control (hosting, third-party platforms)
• Color variations may occur in printing due to material and process differences
• We are not liable for errors in content provided by the client

11. Limitation of Liability

To the maximum extent permitted by law, Splendor Media Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability for any claim shall not exceed the amount paid by the client for the specific service in question.

12. Indemnification

You agree to indemnify and hold harmless Splendor Media Limited from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any third-party rights, including intellectual property rights.

13. Portfolio and Marketing Use

Unless you specifically request otherwise in writing, we reserve the right to feature completed projects in our portfolio, website, social media, and other marketing materials. We will credit your business appropriately unless you request anonymity.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia. Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Zambia.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and Splendor Media Limited regarding our services.
